This is also the address at which you can make complaints, exercise your right of withdrawal and submit a request for remedy.
2. Scope and definitions
These Terms apply to your purchase and use of paid licences for software products offered on mvsoftware.eu (each a "Product"), currently MV Gallery PRO and MV Photo Client Orders (PRO Solo, PRO Studio, PRO Agency, Lifetime), and to the free versions and trials of those Products. A consumer is a person who buys for purposes outside their trade or profession. Sections 12–14 and 20 describe rights that belong to consumers; they apply in addition to everything else and nothing in these Terms limits them.
3. Products, plans and prices
- MV Gallery PRO — licence key, PRO activation, downloads and updates, 1 website — €39 per year, annual subscription, renews automatically.
- MV Photo Client Orders Free — the plugin, 1 website, no licence required — €0.
- MV Photo Client Orders 7-day PRO Trial — all PRO features for 7 days, started by the plugin on your website, once per website; no payment card; no automatic conversion to a paid plan; afterwards the plugin continues as Free — €0.
- MV Photo Client Orders PRO Solo — 1 website — €79 per year, annual subscription, renews automatically.
- MV Photo Client Orders PRO Studio — up to 3 websites — €159 per year, annual subscription, renews automatically.
- MV Photo Client Orders PRO Agency — up to 5 websites — €239 per year, annual subscription, renews automatically.
- MV Photo Client Orders Lifetime — 1 website, see section 10 — €299 once, one payment, no renewal.
The price shown to you before you order is the total price you pay. Prices are in euro. Payment is made through Stripe.
4. How the contract is concluded
- You choose a plan and enter your details on the order form.
- Before you order, the order form shows a summary of the main characteristics, the total price, the duration and renewal, the minimum obligation and the information on defects and withdrawal.
- You tick the required boxes and click "Order with obligation to pay"; you are then redirected to Stripe to pay.
- You can check and correct your entries before you click the order button (edit the fields, or go back with your browser).
- Payment is processed by Stripe. The contract is concluded, and your order is confirmed, once our system receives and verifies Stripe's confirmation that your payment has succeeded — this normally happens within moments of paying. We then send you the order confirmation by e-mail without delay. The confirmation contains the information on your order, the declarations you made and the current Terms.
- The contract can be concluded in Slovak or English, as you choose. We store your order data; you can view your orders in your account and we send you these Terms and the confirmation by e-mail.
5. What you receive; delivery
You receive digital content and related digital services: a licence key, activation of the PRO features through MV Software's licensing service, and access to downloads and updates of the plugin as described for your plan. Nothing is shipped. We make the digital content available immediately after payment is confirmed — when your licence key and download access are made available in your account. The plugin file itself is also available free of charge.
Requirements and compatibility: MV Photo Client Orders — WordPress 6.2 or later, PHP 7.4 or later; MV Gallery — WordPress 6.5 or later, PHP 8.0 or later. PRO features are activated by a licence key checked against MV Software's licensing service (a technical protection measure of the paid features, not of the GPL-covered code). We are not aware of any specific incompatibility with other WordPress plugins or themes at the time of publishing.
6. Open-source licence and licence keys
GPL. MV Photo Client Orders is released under the GNU General Public License, version 2 or later. Nothing in these Terms limits or removes any right the GPL gives you in the GPL-covered code — including the rights to use, study, modify and redistribute it. Other Products are provided under the licence stated in the plugin; where it is GPL-covered, the same applies.
What a paid plan is. A paid plan is not a different licence to the code. It is a commercial entitlement consisting of (a) a licence key, (b) access to our licensing service that activates the PRO features on your websites up to the site limit of your plan, and (c) the customer account and the commercial download and update services.
Site limits. Your key may be active on at most the number of websites of your plan (Solo 1, Studio up to 3, Agency up to 5, Lifetime 1, MV Gallery PRO 1). You can deactivate a website in the plugin to free a slot. The key is for your own use; you may not publish or resell it. These conditions apply to the key and the services only, not to the GPL-covered code.
7. Your account
After purchase we create an account where you can see your subscription or licence, billing documents and downloads and manage renewal. Keep your credentials confidential.
8. Payment, billing and renewal
Annual plans are billed for 12 months at a time and renew automatically every 12 months (on the anniversary of your purchase) at the price you originally paid, until you cancel. If we ever need to change the renewal price, we will tell you in writing at least 30 days before the renewal takes effect and you may cancel before then without penalty; we never change a running subscription's price without that notice.
If a renewal payment fails, Stripe automatically retries it over the days that follow (a standard "dunning" schedule). Your PRO access continues to work during this retry/grace period. If the payment still cannot be collected after the retry period ends, the subscription ends and your plugin continues as Free — we do not disable PRO access immediately on the first failed attempt.
Lifetime is a single payment; nothing renews.
9. Cancelling a subscription
You can cancel at any time in your account, without giving a reason. Cancelling stops the next renewal; your subscription and licence stay active until the end of the period you already paid for. Cancelling a subscription is not the same as withdrawing from the contract (section 12) or claiming a defect (section 13).
10. Lifetime plan
"Lifetime" means: one payment, no renewal fee, and the licence key does not expire by the passage of time (1 website). It is not a promise of lifetime updates, lifetime support or lifetime services, and it does not refer to your lifetime. Your statutory rights are not affected, in particular our statutory duty to supply the updates needed to keep the product in conformity for the period you can reasonably expect (section 13). We do not make a specific promise today about what would happen to the licensing service in the distant future; your statutory rights described in these Terms are not affected by that.
11. Updates and support
For subscription plans we provide downloads and updates for as long as the subscription is active. For all plans we supply the updates, including security updates, that are necessary to keep the digital content in conformity for the period required by law; if you do not install an update within a reasonable time after we told you about it and its consequences, we are not liable for a defect caused solely by that. Support by e-mail: support@mvsoftware.eu.
12. Right of withdrawal (consumers)
You have the right to withdraw from the contract within 14 days from the day it is concluded, without giving a reason.
How: by an unambiguous statement to us — e-mail support@mvsoftware.eu or post to the address in section 1 — or online at Withdraw from contract here (no account needed; after you confirm, we send you a confirmation of receipt by e-mail). You may use the model withdrawal form but you do not have to. The period is kept if you send your statement on or before the last day.
When the right is lost (digital content): if, on the order form, you (1) expressly consented to our supplying the digital content immediately, before the 14 days end, (2) declared that you had been informed that you thereby lose the right of withdrawal once supply begins, and (3) we sent you the confirmation of the contract containing your consent and declaration, then you lose the right of withdrawal from the moment we begin to supply the digital content (when your licence key and download access are made available). If any of these did not happen, your right of withdrawal is not lost.
Effects: if you withdraw validly we refund all payments within 14 days of receiving your statement, to the payment method you used, at no cost to you. Renewal of an annual subscription is part of the same contract and does not start a new withdrawal period.
13. Legal guarantee — defects of digital content and digital services (consumers)
We are liable under Slovak law (Civil Code §§852a–852n) for any lack of conformity of the digital content or digital service: for one-off supply (e.g. Lifetime) for defects existing at delivery that appear within 2 years; for continuous supply (subscriptions) for defects that occur or appear during the subscription. In the first year after delivery (one-off supply) and throughout a subscription, it is for us to prove that the product was free of the defect. The product must match the description, be fit for its normal purposes, be supplied in the latest version available at the time of the contract, and be kept in conformity by updates.
Your rights: to have the defect repaired free of charge within a reasonable time — at most 30 days unless an objective reason justifies longer; if repair is impossible, disproportionate, unsuccessful, or the defect is serious, to a price reduction or to withdraw from the contract. You may claim these rights without first asking us to repair; you may also claim damages. We confirm your complaint in writing without delay, stating when we will repair; if we reject it, we give you the reasons in writing. These rights cannot be excluded or limited by these Terms. Details of our complaint procedure are in section 20.
14. Refunds
Refunds are given where the law requires (withdrawal, price reduction or withdrawal for defects). See the Refund Policy. Beyond what the law requires, we do not currently offer a separate money-back guarantee; your statutory rights above are not affected by this.
15. Use of the licensing and download services
You may not use our licensing, update or download services with a key you are not entitled to, beyond your plan's site limit, or in a way that interferes with them. We may deactivate a key used beyond its limit or shared publicly. This does not restrict any right you have under the GPL in GPL-covered code.
16. Intellectual property
MV Gallery, MV Photo Client Orders and MV Software are our products and trademarks. Buying a plan does not transfer ownership of the software or of our trademarks; your rights in the code are those of the licence in section 6 (which grants no trademark rights).
17. Liability
Nothing in these Terms excludes or limits our liability where the law does not allow it, including liability for intent or gross negligence, for injury to life or health, for defects under section 13 and for damages you may claim as a consumer. If you are not a consumer, our liability is limited to the price you paid in the 12 months before the event, except for intent or gross negligence.
18. Availability and changes to the product
We aim to keep the checkout, account and download services available; for services supplied continuously, our liability for defects under section 13 applies throughout the term. For a product supplied over a period we may change it only for valid reasons (security, legal requirements, technical progress, compatibility with WordPress or PHP) and if you incur no extra cost and we inform you clearly beforehand; if a change negatively affects your use more than negligibly, you may withdraw from the contract free of charge within 30 days of the notice or of the change, unless we let you keep the unchanged product at no extra cost.
19. Changes to these Terms
New Terms apply to purchases made after their effective date. For a running subscription, changes to essential terms (price, scope, term) apply only with your agreement or, where the law allows, after we notify you in good time and you can cancel before they apply. The version that applied when you ordered is stored with your order.
20. Complaints, requests for remedy and out-of-court dispute resolution
Complaints and requests for remedy: send them to support@mvsoftware.eu or the postal address in section 1. We confirm receipt in writing without delay and answer within 30 days at the latest. You have the right to submit a request for remedy to us if you believe we have breached your rights; if we reject it or do not answer within 30 days of its dispatch, you may propose out-of-court dispute resolution.
Out-of-court dispute resolution (ADR): consumers may contact the Slovenská obchodná inšpekcia (SOI) — https://www.soi.sk/alternativne-riesenie-spotrebitelskych-sporov, e-mail ars@soi.sk, adr@soi.sk, Ústredný inšpektorát, Odbor pre medzinárodné vzťahy a alternatívne riešenie spotrebiteľských sporov, Bajkalská 21/A, p. p. 29, 827 99 Bratislava 27 — or another ADR entity of your choice. The service is free of charge. We cooperate with the Ministry of Economy of the Slovak Republic and the European Consumer Centre network in cross-border disputes. (The EU online dispute resolution platform was discontinued in 2025 and no longer exists.)
21. Personal data
How we process personal data is described in the Privacy Policy.
22. Governing law and jurisdiction
Slovak law applies. If you are a consumer, this does not deprive you of the protection of the mandatory provisions of the law of the country where you habitually reside. You may bring proceedings against us in the courts of Slovakia or of the country where you live; we may bring proceedings against you only in the courts of the country where you live.
23. Language and final provisions
These Terms are available in Slovak and English. If the versions differ, the version in the language in which you concluded the contract applies. If a provision is invalid, the rest remains in force.
